Terms and Conditions of Service
Effective Date: January 1, 2026 | Governs all accounts, subscriptions, and usage of hiihotel Software.
1 Acceptance of Agreement & Parties
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("Subscriber", "User", "Hotelier") and Ingesh Technologies ("Owner", "Company", "Licensor"), governing your access to and use of the hiihotel Cloud Hotel Management Platform, including all modules, APIs, customer support, and related web interfaces. By registering an account, purchasing a subscription, or accessing hiihotel, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms.
2 SaaS License Grant & Permitted Usage
Subject to timely payment of applicable subscription fees, Ingesh Technologies grants Subscriber a limited, non-exclusive, non-transferable, revocable software-as-a-service (SaaS) license to access and use hiihotel solely for internal hotel operational management.
- Decompile, reverse-engineer, disassemble, modify, or derive source code of hiihotel.
- Resell, sublicense, distribute, lease, or commercially exploit hiihotel to un-affiliated third parties without written authorization.
- Circumvent licensing keys, tenant isolation parameters, or security mechanisms.
- Use the software to conduct fraudulent bookings or store unlawful materials.
3 Intellectual Property Protection (Owner Rights)
All right, title, and interest in and to hiihotel, including but not limited to software code, architecture, UI/UX designs, algorithms, logos, documentation, trademarks, and future updates, are and shall remain the exclusive intellectual property of Ingesh Technologies. This Agreement grants no title or ownership rights to the Subscriber.
4 Subscription Billing & Strict Refund Policy
- Payment Terms: Subscription fees are billed in advance on a monthly, quarterly, or annual recurring basis as chosen during checkout.
- Tax Compliance: All plan fees are subject to applicable GST (Goods and Services Tax) as prescribed under Indian tax laws.
- Strict No-Refund Policy: Because hiihotel provides interactive live demonstrations and comprehensive free testing environments prior to purchase, all subscription payments are final, non-refundable, and non-prorated once an active tenant account is provisioned.
- Non-Payment Suspensions: Failure to settle renewal invoices within 7 business days of expiry may result in temporary suspension or termination of software access.
5 Service Availability & Warranty Disclaimers
hiihotel is provided on an "AS IS" and "AS AVAILABLE" basis. While Ingesh Technologies employs high-availability cloud infrastructure with a targeted 99.9% uptime, we do not warrant that service will be uninterrupted, error-free, or fully compatible with third-party legacy hardware. Scheduled maintenance will be announced in advance where feasible.
6 Limitation of Owner Liability
To the maximum extent permitted by Indian Law, under no circumstances shall Ingesh Technologies, its founders, directors, employees, or contractors be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, guest booking disputes, business interruption, or loss of hotel records).
Ingesh Technologies' aggregate cumulative financial liability arising out of or related to this agreement shall not exceed the total subscription fees actually paid by the Subscriber in the three (3) months immediately preceding the claim.
7 Subscriber Indemnification
Subscriber agrees to indemnify, defend, and hold harmless Ingesh Technologies and its personnel from any third-party claims, tax penalties, guest disputes, room overbooking liabilities, or legal damages arising out of Subscriber's operational mismanagement, breach of guest privacy, or non-compliance with regional hotel regulations.
Governing Law & Exclusive Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Republic of India. Any legal dispute, arbitration, claim, or controversy arising out of or relating to these Terms or the use of hiihotel shall be subject to the exclusive jurisdiction of the competent civil courts located in Ujjain, Madhya Pradesh, India.
